Obligations of the Parties. 2.1. The Trust shall bear the costs of registering and qualifying the Trust's shares, and of preparing and filing the Trust's prospectus, registration statement, Trust sponsored proxy materials (or similar materials such as voting instruction solicitation materials), reports to shareholders, and all statements and notices required by federal or state law. The Trust shall pay all taxes on the issuance and/or transfer of the Trust's shares.
