Obblighi di voto. Voting Shares are subject to voting obligations for the entire duration of the Agreement. On termination of each Consultation Meeting, subscribers shall fill out and undersign a proper sheet, indicating their preferences in regard to their votes (in favor or against) or their abstention from vote. For each Area, the respective Secretaries shall collect the sheets on the voting preferences of all subscribers present and shall transmit them to the Steering Committee. The Steering Committee, on receipt of the voting preference sheets from all subscribers to the Syndicate present at the Consultation Meetings, shall proceed with the related count, in order to establish whether a quorum to resolve has been reached or not, which is equal to fifty-one percent of all Shares Subject to Blocking. Failure to reach the aforementioned quorum to resolve, new Consultation Meetings shall be held on the initiative of the Steering Committee and subject to convocation by the Secretaries . The Steering Committee shall announce the prevailing preference, whatever the percentage may be of the Shares Subject to Blocking represented by these shares. Afterwards, the Chairperson of the Steering Committee shall notify the trust company of the preference expressed by t he Agreement, in accordance with which the trust company shall participate and vote at the related meeting of the Company in reference to each sub xxxxxxx from whom it has received the related mandate. The so expressed preference shall also bind the subscribers, who, at the Con sultation Meetings, have expressed a different preference from the one prevailed, or have abstained from voting, as well as the subscribers who h ave not participated in these Consultation Meetings.
