Common use of Notice of Rates Clause in Contracts

Notice of Rates. The Calculation Agent will calculate the Reset Rate as of the Reset Date and, within five Business Days of the Reset Date, the Company will send (or, if agreed to by the Trustee, shall provide to the Trustee, and the Trustee, as instructed by the Company and at the expense of the Company, shall send) a notice to each Holder of Notes of this Series and the Trustee, specifying the Reset Rate and setting forth in reasonable detail the manner in which the Reset Rate was calculated. The calculation of the Reset Rate by the Calculation Agent will (in the absence of manifest error) be conclusive for all purposes and final and binding on the Holders of Notes of this Series and the Company. The Company shall provide all cooperation reasonably requested by DT and the Calculation Agent in connection with the calculation of the Reset Rate, including, without limitation, providing any information reasonably requested and the payment of any fees and expenses then due and payable. In the event that the Calculation Agent shall not have provided the Reset Rate to the Company within such five Business Day period and the Company shall have complied with the foregoing, (x) the Company shall promptly so notify the Trustee and the Holders of such failure, (y) the date on which the Company shall be required to deliver such notice of the Reset Rate will be extended until the date that is two Business Days after the date on which the Company receives such Reset Rate from the Calculation Agent and (z) DT may, in its sole discretion, appoint a replacement Calculation Agent.
