Common use of NONSOLICITATION; NONINTERFERENCE Clause in Contracts

NONSOLICITATION; NONINTERFERENCE. From the date of this Agreement through and including the six months following the termination of the Employee’s employment with the Company, the Employee agrees that the Employee shall not, except in the furtherance of the Employee’s duties hereunder, directly or indirectly, individually or on behalf of any other person, firm, corporation or other entity: (A) solicit, aid or induce any customer of the Company or its subsidiaries or affiliates that is then paying or has agreed in writing to pay the Company not less than $250,000 per year; (B) solicit, aid or induce any employee, representative or agent of the Company or any of its subsidiaries or affiliates to leave such employment or retention or to accept employment with or render services to or with any other person, firm, corporation or other entity unaffiliated with the Company or hire or retain any such employee, representative or agent, or take any action to materially assist or aid any other person, firm, corporation or other entity in identifying, hiring or soliciting any such employee, representative or agent; or (C) interfere, or aid or induce any other person or entity in interfering, with the relationship between the Company or any of its subsidiaries or affiliates and any of their respective vendors, joint venturers or licensors.

From During the date of this Agreement through and including the six months following the termination of the EmployeeExecutive’s employment em­ployment with the CompanyCompany and for the Restricted Period, the Employee Executive agrees that the Employee Executive shall not, except in the furtherance of the EmployeeExecutive’s duties hereunder, directly or indirectly, individually or on behalf of any other person, firm, corporation or other entity: , (Ai) solicit, aid or induce any customer of the Company or its subsidiaries an Affiliate to purchase goods or affiliates that is services then paying or has agreed in writing to pay sold by the Company not less than $250,000 per year; or any Affiliate from another person, firm, corporation or other entity or assist or aid any other persons or entity in identifying or soliciting any such customer, (Bii) solicit, aid or induce any employee, representative or agent of the Company or any of its subsidiaries or affiliates Affiliate to leave such employment or retention or or, in the case of employees, to accept employment with or render services to or with any other person, firm, corporation or other entity unaffiliated with the Company or any Affiliate, or hire or retain any such employee, representative or agent, or take any action to materially assist or aid any other person, firm, corporation or other entity in identifying, hiring or soliciting any such employee, representative or agent; or (Ciii) interfere, or aid or induce any other person or entity in interfering, with the relationship between the Company or any of its subsidiaries or affiliates Affiliate and any of their respective vendors, joint venturers ventures or licensors..
