Nomination of Officers. The Board of Directors of TriZetto shall take such actions as may be necessary (including the securing, if necessary, of applicable resignations) to cause the following persons to be appointed to the following positions within TriZetto at the Effective Time: (a) Chairman of the Board - Xxxxxx Xxxxxxxx; (b) Vice Chairman of the Board - Xxxxxxx Xxxxxxxx; (c) Chief Executive Officer - Xxxxxxxx Xxxx; and (d) President - Xxxxxxx Xxxxxxxx.

Nomination of Officers. (a) The chief executive officer "CEO" and the chief financial officer "CFO" shall be appointed as follows: (i) Cone may propose, for approval by the Board of Directors, candidates for the chief executive officer, who shall also be a Director; and (ii) Isko shall propose, for approval by the Board of Directors, candidates for the chief financial officer.

  • Election of Officers After their election the Managers shall meet and organize by electing a President from their own number, a Secretary and a Treasurer, and any other officers determined to be necessary by the Board, who may, but need not, be Managers. Each D&O Indemnified Party will be entitled to advancement of expenses incurred in the defense of any such claim, action, suit, proceeding or investigation from each of Parent and the Surviving Corporation, jointly and severally, upon receipt by Parent or the Surviving Corporation from the D&O Indemnified Party of a request therefor; provided that any such person to whom expenses are advanced provides an undertaking to Parent, to the extent then required by the DGCL, to repay such advances if it is ultimately determined that such person is not entitled to indemnification.

  • Removal and Resignation of Officers Subject to the rights, if any, of an officer under any contract of employment, any officer may be removed, either with or without cause, by the Board or, except in the case of an officer chosen by the Board, by any officer upon whom such power of removal may be conferred by the Board. Any officer may resign at any time by giving written notice to the Corporation. Any resignation shall take effect at the date of the receipt of that notice or at any later time specified in that notice. Unless otherwise specified in the notice of resignation, the acceptance of the resignation shall not be necessary to make it effective.   • Certificate of Officers Parent and Acquisition Corp. shall have delivered to the Company a certificate dated the Closing Date, executed on their behalf by their respective Presidents, certifying the satisfaction of the conditions specified in paragraphs (a), (b), and (c) of this Section 8.2.
