Common use of NO RULE OF STRICT CONSTRUCTION; SEVERABILITY Clause in Contracts

NO RULE OF STRICT CONSTRUCTION; SEVERABILITY. Regardless of which party hereto may have drafted this Agreement, no rule of strict construction will be applied against any party. If any provision of this Agreement is determined by a court of competent jurisdiction to be unenforceable, the parties will deem the provision to be modified to the extent necessary to allow it to be enforced to the maximum extent permitted by law, or if it cannot be modified, the provision will be severed and deleted from this Agreement, and the remainder of this Agreement will continue in effect.
