No Group Participation. Each Buyer and its affiliates is not a member of any group, nor is any Buyer acting in concert with any other person, including any other Buyer, with respect to its acquisition of the Convertible Debentures, Warrants, the Warrant Shares or Conversion Shares.

(q) Survival. The foregoing representations and warranties shall survive the Closing Date for a period of three years.
