No Government Proceeding or Litigation. No suit, action, investigation, inquiry or other proceeding by any governmental body or other person or legal or administrative proceeding shall have been instituted or threatened which questions the validity or legality of the transactions contemplated hereby.
No Government Proceeding or Litigation. There shall not be any suit, action, investigation, inquiry or other proceeding instituted, pending or threatened by any Governmental Entity which seeks to enjoin or otherwise prevent consummation of the transactions provided for herein.

No suit, action or proceeding before any court or any governmental or regulatory authority shall be pending or threatened by any state or federal governmental or regulatory authority, against Fearrington, the Buyer, U.S. Trust, the Seller or any of their respective affiliates, officers or directors seeking to restrain, prevent or change in any material respect the transactions contemplated hereby (including, without limitation, the Employment Agreement) or seeking damages in connection with such transactions which are material to the Seller, taken as a whole.
