Common use of No Government Proceeding or Litigation Clause in Contracts

No Government Proceeding or Litigation. No suit, action or proceeding before any court or any governmental or regulatory authority shall be pending or threatened by any state or federal governmental or regulatory authority, against Fearrington, the Buyer, U.S. Trust, the Seller or any of their respective affiliates, officers or directors seeking to restrain, prevent or change in any material respect the transactions contemplated hereby (including, without limitation, the Employment Agreement) or seeking damages in connection with such transactions which are material to the Seller, taken as a whole.
