No Duties Except as Specified in Trust Agreement or Instructions. The Owner Trustee shall not have any duty or obligation to manage, control, use, sell, dispose of or otherwise deal with the Aircraft or any other part of the Trust Estate, or to otherwise take or refrain from taking any action under, or in connection with any of the Operative Documents to which the Owner Trustee is a party, except as expressly required by the terms of any of the Operative Documents to which the Owner Trustee is a party, or (to the extent not inconsistent with the provisions of the Trust Indenture) as expressly provided by the terms hereof or in written instructions from the Owner Participant received pursuant to the terms of Section 5.01 or 5.02, and no implied duties or obligations shall be read into this Trust Agreement against the Owner Trustee. FSB agrees that it will, in its individual capacity and at its own cost or expense (but without any right of indemnity in respect of any such cost or expense under Section 7.01 hereof) promptly take such action as may be necessary to duly discharge and satisfy in full all Lessor Liens which it is required to discharge pursuant to Section 8(h) of the Participation Agreement and otherwise comply with the terms of said Section binding on it.

FSB agrees that it will, in its individual capacity and at its own cost or expense (but without any right of indemnity in respect of any such cost or expense under Section 7.01 hereof) promptly take such action as may be necessary to duly discharge and satisfy in full (i) all Lessor Liens which it is required to discharge pursuant to Section 7(f) of the Participation Agreement and otherwise comply with the terms of said Section binding on it, (ii) any Liens (other than Lessor's Liens attributable to it in its individual capacity) created as a result of its breach of any of its obligations under this Trust Agreement on any part of the Trust Estate, or on properties of the Owner Trustee assigned, pledged or mortgaged as part of the Trust Estate, which arise from acts of FSB in its individual capacity except the Lien created under the Trust Indenture, the rights of the Lessee under the Lease and the rights of the Owner Participant hereunder and (iii) any other Liens from claims against FSB in its individual capacity on any part of the Trust Estate which result from claims against FSB in its individual capacity unrelated to the ownership of the Aircraft, the administration of the Trust Estate or the transactions contemplated by the Operative Documents.

The Owner Trustee shall not have any duty or obligation to manage, control, use, make any payment in respect of, register, record, insure, inspect, sell, dispose of or otherwise deal with any Property or any other part of the Trust Estate, or to otherwise take or refrain from taking any action under or in connection with any Operative Agreement to which the Owner Trustee is a party, except as expressly provided by the terms of this Trust Agreement or any other Operative Agreement or in written instructions from the Agent and/or the Majority Holders, as applicable, received pursuant to Sections 5.1, 5.2 or 8.4 of this Trust Agreement or Sections 8.2(h) or 8.6 of the Participation Agreement or from the Lessee pursuant to Sections 8.5 or 9.2 of the Participation Agreement; and no implied duties or obligations shall be read into this Trust Agreement against the Owner Trustee. The Owner Trustee shall have no duty or obligation to supervise or monitor the performance of the Construction Agent pursuant to the Agency Agreement which for all purposes shall be an independent contractor. The Owner Trustee nevertheless agrees that it will (in its individual capacity and at its own cost and expense), promptly take all action as may be necessary to discharge any Lessor Liens on any part of the Trust Estate.

The Owner Trustee shall not have any duty or obligation to manage, control, use, sell, dispose of or otherwise deal with the Equipment or any other part of the Trust Estate, except as expressly provided by the terms hereof or in a written instruction from the Owner Participant received pursuant to the terms of Section 5.01, and no implied duties or obligations shall be read into this Trust Agreement against the Owner Trustee. WFB agrees that it will, in its individual capacity and at its own cost or expense (but without any right of indemnity in respect of any such cost or expense under Section 7.01 hereof), promptly take such action as may be necessary to duly discharge and satisfy in full all Liens on all or any part of the Trust Estate attributable to it in its individual capacity.

The Owner Trustee shall not have any duty or obligation to manage, control, use, operate, sell, lease, dispose of or otherwise deal with the Facility, the Site or any interest therein or any other part of the Trust Estate, or otherwise to take or refrain from taking any action under, or in connection with, any document contemplated hereby to which the Owner Trustee is a party, except as expressly provided by the terms of this Agreement or in written instructions from the Owner Participant received pursuant to Section 5.1 or 5.2 hereof, and no implied duties or obligations shall be read into this Agreement against the Owner Trustee. The Owner Trustee nevertheless shall, in its individual capacity and at its own cost and expense, and without any right of indemnity in respect of any such cost or expense under Section 7.1 of this Agreement, promptly take all actions as may be necessary to discharge any Liens on any part of the Trust Estate arising by, through or under the Owner Trustee in its individual capacity, not related or connected to its ownership interest in the Facility, its status as lessor under the Facility Lease, the administration of the Trust Estate or any other transaction contemplated by the Facility Lease or any of the Transaction documents, and shall otherwise comply with the terms of the Facility Lease and the other Lease Documents.

The Owner Trustee shall not have any duty or obligation to manage, control, use, make any payment in respect of, register, record, insure, inspect, sell, dispose of or otherwise deal with the Properties or any other part of the Trust Estate, or to otherwise take or refrain from taking any action under or in connection with the Bridge Note, the Indemnification Agreement or any Operative Agreement to which the Owner Trustee is a party, except as expressly provided by the terms of this Trust Agreement or in written instructions from the Administrative Agent or the Holders, as applicable, received pursuant to Section 5.1, 5.2 or 8.4; and no implied duties or obligations shall be read into this Trust Agreement against the Owner Trustee. The Owner Trustee shall have no duty or obligation to supervise or monitor the performance of the Construction Agent pursuant to the Agency Agreement, which Construction Agent for all purposes shall be an independent contractor. Trust Company nevertheless agrees that it will, at its own cost and expense, promptly take all action as may be necessary to discharge any liens arising by or through the Trust Company or the Owner Trustee on any part of the Trust Estate.

Trustee shall not have any duty or obligation to manage, control, make any payment in respect of, register, record, insure, inspect, instruct, use, sell, dispose of or otherwise deal with the Lease Property, or any other part of the Trust Estate, or to otherwise take or refrain from taking any action under, or in connection with, any document contemplated hereby to which Trustee is a party, except as expressly provided by the terms of this Agreement, or in written instructions from a Majority in Interest of Owner Participants received pursuant to Section 7.01 or 7.02 hereof; and no implied duties or obligations shall be read into this Agreement against Trustee. Trustee, in its individual capacity, nevertheless agrees that it will, at its own cost and expense promptly take all action as may be necessary to discharge any Liens (including Lessor Liens) on any part of the Trust Estate which result from actions or commissions or omissions by, or claims against, Trustee, in its individual capacity, or the trusts created hereby not related to Trustee's ownership of the Lease Property or any other part of the Trust Estate or the administration of the Trust Estate or the transactions contemplated by the Operative Documents or this Agreement.
