Rights of the Owner. Nothing in this agreement prevents an Owner from taking action to protect, defend or enforce its rights in relation to its Research Project IP without reference to the other parties.

Notwithstanding the provisions of this Indenture, including, without limitation, Section 5.03, so long as no Event of Default shall have occurred and be continuing, the Indenture Trustee shall not take any action contrary to, or disturb, the Owner’s rights to possession and use of, and of quiet enjoyment of, the Equipment.
