No Benefit Plans. Neither the Company nor any ERISA Affiliate maintains, has maintained any Benefit Plan during the past five years, or otherwise has any obligation under any Benefit Plan other than a group health plan covering the existing employees.

No Benefit Plans. Human BioSystems and the Subsidiary have no insurance or employee benefit plans whatsoever.

Except as set forth in Schedule 4.14, neither the Company nor any of the Company Subsidiaries (A) is a party to or otherwise obligated under any collective bargaining agreement, and (B) maintains, contributes to, or has liabilities or obligations with respect to any material employee benefit plan as defined in Section 3 of the Employee Retirement Income Security Act of 1974, as amended (“ERISA”), or other material employee program, including, without limitation, any pension, medical, accident, life, disability, policy or program.
