Mitigate to the extent practicable and at Business Associate’s sole cost and expense, any harmful effect that is known to exist as a result of a PHI Incident described in Section 2.1c of this Agreement. Additionally, the Business Associate shall cooperate with the Covered Entity in its mitigation efforts, including without limitation, its efforts to recover its PHI or prevent or curtail such threatened or actual PHI Incident. In the event of a PHI Incident, Business Associate agrees to cooperate with the Covered Entity in complying with all state and Federal public notification requirements arising from such PHI Incident, including, without limitation, providing Covered Entity with any information necessary to comply with such notification requirements upon Covered Entity’s request and, at Covered Entity’s discretion, paying all costs and expenses related to conducting any necessary investigations and notifying the affected Individuals. Such costs, if appropriate and reasonable under the circumstances, may include the actual cost of notification, setting-up and managing a toll-free number, email address, website and postal address and credit monitoring.
Mitigate. Business Associate agrees to mitigate, to the extent commercially reasonable, any harmful effects from any unauthorized use or disclosure of PHI by Business Associ- ate or its third party subcontractors or agents.
Mitigate to the extent reasonably practicable, any harmful effect that is known to Business Associate to arise out of a use or disclosure of PHI by Business Associate in violation of the HIPAA Regulations or in violation of the requirements of this Agreement.
Mitigate. Executive shall be required to use his best efforts to obtain gainful employment as similar as possible to his duties with the Company, provided that (A) a finding by an arbitration tribunal that Executive has failed to do so will result in the Company being relieved of any obligation to pay Executive and (B) any amount received by Executive from such employment shall reduce the amount payable by the Company under Section 10(b).
Mitigate to the extent practicable, and at its sole expense, any harmful effect caused by a use or disclosure of Protected Health Information by Business Associate in violation of the requirements of this Agreement. Also, to fully cooperate with Covered Entity’s efforts to promptly investigate, mitigate, and notify third parties of breaches of unsecured protected health information or security incidents as required by the HIPAA Rules.
Mitigate to the extent practicable, any harmful effect that is known to the Contractor of a use or disclosure of health records by the Contractor in violation of the requirements of this agreement;
Mitigate to the extent practicable, any harmful effect of an unauthorized use or disclosure of PHI by Business Associate, or a subcontractor, vendor, or agent of Business Associate, in violation of the requirements of this Agreement.
Mitigate to the extent practicable and at Business Associate’s sole cost and expense, any harmful effect that is known to exist as a result of an occurrence of PHI described in Section 2.1(c) of this Agreement. Additionally, the Business Associate shall cooperate with the Covered Entity in its mitigation efforts, including without limitation, its efforts to recover its PHI or prevent or curtail such threatened or actual occurrence of PHI. In the event of an occurrence of PHI, Business Associate agrees to cooperate with the Covered Entity in complying with all state and Federal public notification requirements arising from such occurrence, including, without limitation, providing Covered Entity with any information necessary to comply with such notification requirements upon Covered Entity’s request and, at Covered Entity’s discretion, paying all costs and expenses related to notifying the effected Individuals. Such costs, if appropriate and reasonable under the circumstances, may include the actual cost of notification, setting-up and managing a toll-free number, email address, website and postal address and credit monitoring.
Mitigate to the extent practicable, any harmful effects known to the provider of a use, disclosure, or breach of security with respect to protected information by the provider in violation of this agreement.
Mitigate to the extent practicable, any harmful effect that is known to Agency of a use or disclosure of PHI by Agency except as permitted by this Agreement.
