Purchaser shall have received such evidence as Purchaser may reasonably request in order to establish: (a) the power and authority of the Transferors to consummate the transactions contemplated by this Agreement; (b) compliance with the conditions of Closing set forth herein; and (c) satisfactory completion of all corporate and Company Shareholder proceedings to be taken in connection with the transactions contemplated by this Agreement, together with certified copies of resolutions duly adopted by the shareholders and directors of the Company approving the transactions contemplated hereby and the execution and delivery of this Agreement and all other corporate action necessary to enable the Transferors to comply with the terms of this Agreement.

Miscellaneous Closing Deliveries. The Buyer shall have received each of the following: (i) all documents, instruments and other closing deliveries specified herein; and (ii) such evidence as the Buyer may reasonably request in order to establish (A) the corporate power and authority of the Company to consummate the transactions contemplated by this agreement; and (B) compliance with the conditions of Closing set forth herein; and (iii) a certificate pursuant to section 206(6) of the Corporations Law in connection with the provision of financial assistance by the Company as contemplated by this agreement.
