Milliman Adjustments And Unwinding Discount. The Gross Loss and Allocated Loss Adjustment Expense Reserves and corresponding reinsurance recoverable shall be adjusted to the Best Estimate levels as included in the Milliman Report, as defined in this Stock Purchase Agreement. It should however be noted that the Milliman Report did not cover the provision for future legal costs associated in defending BRUK in relation to claims on insurance business written and hence there is no corresponding Milliman recommended amount in relation to these reserves. In this instance, BRUK should use its own provision for legal costs calculated in a manner consistent with its past practice. Any existing discount on the reserves (both gross and unpaid reinsurance) should similarly be unwound. To the extent applicable, the effect of taxation should be provided for (see also paragraph 6).
