Management and Control of Company. The Company shall be manager- managed. All Managers must be Members of the Company. Subject to the delegation of rights and powers provided in this Agreement, the Managers shall have the sole right to manage the business of the Company and shall have all powers and rights necessary, appropriate or advisable to effectuate and carry out the purposes and business of the Company. No Member shall have any authority to act for or bind the Company, but shall only have the right to vote on actions provided in this Agreement or those actions specified to be voted on or approved by the Members. At any time there is only one Member, any and all action provided in this Agreement or to be taken or approved by the Members shall be taken or approved by the sole Member.
