Common use of Maintenance Upgrades Clause in Contracts

Maintenance Upgrades. 12.1 Standard maintenance, defect corrections, enhancements, updates and revisions may be made by the Licensor and at the Licensors discretion offered to the Licensee at the time of the Licensees annual Subscription renewal date on such terms and conditions as the Licensor deems appropriate at its discretion unless agreed otherwise with the Licensee. 12.2 Where the Licensor has become aware of a security risk then the Licensor reserves the right to use its reasonable endeavours to upgrade the Software and or decide to temporarily suspend access to the Software as deemed reasonable to protect both the Licensor and the Licensee.
