Change Order Services Clause Samples
Change Order Services. From time to time DCH may request that Contractor to provide reduced or additional system development services, create customized enhancements to the System, or provide other consulting services that are not specifically addressed in this Agreement (“Change Order Services”). Notwithstanding any other provision of this Agreement, including any provision of the RFP, Contractor shall provide Change Order Services solely at the request of the DCH Project Director, in accordance with the terms and conditions set forth in this Agreement, and pursuant to a Change Order Schedule that is substantially in the form of Exhibit B E, attached hereto (“Change Order Schedule”). Such Change Order Schedule or Schedules shall be deemed to be part of this Agreement and, unless otherwise provided therein, shall be governed by the terms and conditions of this Agreement. If DCH is obligated to pay Contractor for time spent by Contractor Personnel and/or to pay or reimburse Contractor for expenses incurred in connection with the Change Order Services, then Contractor will maintain detailed records to support its invoices or other charges to DCH. DCH will have Audit Rights in accordance with Section 7.9 of this Agreement with respect to all such records. To the extent the Change Order Services enhance the performance of the System, such enhancements shall be referred in this Agreement as "Additional“Additional Performance Standards."

Change Order Services. The Parties understand and agree that, while the intent is for Onsite to provide to Customer those ECMs set forth on in each Amendment with no significant changes or modifications thereto being required, changes and/or modifications may be required that affect the Total Capital Cost. Onsite may, with the prior written consent of Customer, substitute ECMs set forth in each Amendment with ECMs of equal or better quality that do not increase the Total Capital Cost. If either Customer or Onsite desire to significantly or substantially change and/or modify the ECMs set forth in each Amendment, or any modification increases or decreases the Total Capital Cost and/or the Estimated and/or Guaranteed Energy Savings, the Parties shall execute a Contract Change Order.
