The "Upgrade Versions" clause defines the process and conditions under which software or systems covered by an agreement may be updated to newer versions. Typically, this clause outlines whether upgrades are included as part of the service, if additional fees apply, and how clients will be notified or provided access to new versions. For example, it may specify that all minor updates are included at no extra cost, while major upgrades require a separate purchase. Upgrade Versions. During the Term, at no additional charge to DCH, Contractor shall: (i) make Upgrade Versions of the System, if any, available to DCH, (ii) take all actions necessary to ensure that the System reflects current and anticipated federal and state regulatory requirements (e.g. HIPAA), as well as technical and computer operating system changes, and (iii) provide DCH all revisions and enhancements to the System that Contractor makes generally available to its users are necessary to cause the System to have functionality that is as good or better than that of any substantially similar system designed in whole or in part by Contractor.
Upgrade Versions. You will be entitled to upgrade versions of the Software, if any, during the Term of this Agreement and at no additional cost. Such upgrade versions shall be subject to the terms and conditions of this Agreement.

If the PRODUCT is labeled as an upgrade, the End User must be properly licensed to use a product identified by ProShip, Inc. as being eligible for the upgrade in order to use the PRODUCT. A PRODUCT labeled as an upgrade replaces and/or supplements (and may disable) the product that formed the basis for the End User’s eligibility for the upgrade. The End User may use the resulting upgraded product only in accordance with the terms of this ▇▇▇▇. MIXED-MEDIA SOFTWARE: The End User may receive the PRODUCT in more than one medium. Regardless of the type or size of media received, the End User may use only one medium that is appropriate for your system. The End User shall not loan, rent, lease, or otherwise transfer the other medium to any third party.
