Maintenance Outages. If Seller reasonably determines that it is necessary to schedule a Maintenance Outage, Seller shall notify Buyer of the proposed Maintenance Outage at least five (5) days before the outage begins (or such shorter period to which Buyer may reasonably consent in light of then existing conditions). Upon such notice, the Parties shall plan the Maintenance Outage to mutually accommodate the reasonable requirements of Seller and the service obligations of Buyer; provided, however, that, unless Buyer otherwise consents, such consent not to be unreasonably withheld, no Maintenance Outage may be scheduled between the hour ending 0700 through the hour ending 2200, Monday through Saturday, during the time period commencing on May 15 and concluding on September 15. Notice of a proposed Maintenance Outage shall include the expected start date and time of the outage, the amount of Capacity of the Facility that will not be available, and the expected completion date and time of the outage. Seller shall give Buyer notice of the Maintenance Outage as soon as Seller determines that the Maintenance Outage is necessary. Buyer shall promptly respond to such notice and may request reasonable modifications in the schedule for the outage. Seller shall use all reasonable efforts to comply with any request to modify the schedule for a Maintenance Outage. Seller shall notify Buyer of any subsequent changes in Capacity available to Buyer or any changes in the Maintenance Outage completion date and time. As soon as practicable, any notifications given orally shall be confirmed in writing. Seller shall take all reasonable measures and exercise its best efforts in accordance with Prudent Electrical Practices to minimize the frequency and duration of Maintenance Outages.

Maintenance Outages. Maintenance outages will occasionally be required on the Cooperative’s distribution system and the Cooperative will provide as much notice and planning as practical to minimize downtime. It is noted that in some emergency cases such notice may not be practical. Compensation will not be made for unavailability of Cooperative’s distribution facilities due to distribution system outages.
Maintenance Outages. If Seller needs or desires to schedule a Maintenance Outage of the Facility, Seller shall notify Buyer, as far in advance as reasonable and practicable under the circumstances, of such proposed Maintenance Outage, and the Parties shall plan such outage to mutually accommodate the reasonable requirements of Seller and delivery expectations of Buyer. Notice of a proposed Maintenance Outage shall include the expected start date of the outage, the amount of output of the Facility that will not be available and the expected completion date of the outage. Buyer may request reasonable modifications in the schedule for the outage. Subject to its operational and maintenance needs, Seller shall comply with such requests to reschedule a Maintenance Outage. If rescheduled, Seller shall notify Buyer of any subsequent changes in the output that will not be available to Buyer and any changes in the Maintenance Outage completion date. As soon as practicable, any such notifications given orally shall be confirmed in writing.

Maintenance Outages. When the circumstances warrant a Maintenance Outage, the Seller may advise the Purchaser of such circumstances and of the planned commencement and estimated duration of the Maintenance Outage. The Purchaser shall, if reasonably necessary grant the Seller the right to conduct such Maintenance Outage at a time reasonably acceptable to the Purchaser.
Maintenance Outages. Maintenance outages will occasionally be required on the REMC’s system, and the REMC will provide reasonable notice and planning as practicable to minimize downtime. It is noted that in some emergency cases such notice may not be reasonably possible. Compensation will not be made for unavailability of REMC’s system.
Maintenance Outages. When the circumstances warrant a Maintenance Outage, the Company shall inform the Control Centre of such circumstances and the proposed commencement and estimated duration of Maintenance Outage. The Control Centre shall grant the Company the right to schedule and conduct such Maintenance Outage at a time acceptable to the Parties. The decision of the Control Centre with regard to scheduling of Maintenance Outages shall be final.

Maintenance Outages. When the circumstances warrant a Maintenance Outage, the Company may advise JPS of such circumstances and of the proposed commencement and estimated duration of the Maintenance Outage. JPS may, in its sole discretion, grant the Company the right to schedule and conduct such Maintenance Outage at a time acceptable to JPS. In the event that any such granted Maintenance Outage is required to be rescheduled then JPS shall use its reasonable effort to provide a new rescheduled time within [three (3) Days]. If the rescheduled Maintenance Outage is carried out then the outage hours shall be deducted from the allotted Scheduled Outage hours for the Year.

Maintenance Outages. Without prejudice to Clause 6.1 and subject to applicable notification requirements under the Operating and Dispatch Procedures, nothing in this Agreement shall oblige Seller to take a Unit out of operation at the start of the relevant period specified in the programme for Planned Maintenance nor prevent Seller from returning a Unit to operation before the end of such period.
