Common use of Limits of Agreement Clause in Contracts

Limits of Agreement. The terms and conditions set forth herein constitute the complete and exclusive statement of all of the terms of the agreement between TRW and CTI with respect to this Contract, unless different or additional terms and conditions are hereafter agreed in writing and made a part hereof by Contract amendment. All prior representations and agreements of the parties are merged herein and no agent, employee or representative of Seller has the authority to bind Seller to any other affirmation, representation, promise or warranty concerning the software or services furnished by Seller, and such are not enforceable by Buyer unless contained herein. This Contract shall not be varied, supplemented, qualified, or interpreted by any prior course of dealing between the parties or by any usage of trade.
