Common use of License to Improvements Clause in Contracts

License to Improvements. Licensee hereby grants to Licensor a worldwide, fully paid-up, royalty-free, non-exclusive license, with the right to sublicense through multiple tiers, under any Improvements, solely for purposes of Developing, Manufacturing, and Commercializing the Licensed Compound and Licensed Product, in each case for Japan (subject to the exclusive rights granted to Licensee under this Agreement with respect to the Licensed Product and the Licensed Compound in the Territory).

License to Improvements. Licensor agrees to grant and does hereby grant to Licensee hereby grants to Licensor a worldwide, fully paid-up, royalty-free, exclusive, non-exclusive licensetransferrable license to any and all Improvements to sublicense, with the right to sublicense through multiple tiersmanufacture, under any have manufactured, use, offer for sale, sell, export, and import Licensed Products and Licensed Products protected by Improvements, solely for purposes of Developing, Manufacturing, and Commercializing the Licensed Compound and Licensed Product, in each case for Japan (subject to the exclusive rights granted to Licensee under this Agreement with respect to the Licensed Product and the Licensed Compound in the Territory)as defined herein.
