To the extent the Company maintains an insurance policy or policies providing directors' directors and officers' officers liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer.

Liability Insurance. To the extent the Company maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officerdirector.

To the extent the Company maintains an insurance -------------------- policy or policies providing directors' and officers' liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer.

To the extent the Company maintains an insurance policy or policies providing for directors' ’ and officers' ’ liability insurance, the Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any person with Corporate Status at any Company director or officerGroup Company.

Liability Insurance. To the extent the Company maintains an insurance policy or policies providing directors' and officers' liability insurance, the Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officerofficer of the Company. Indemnitee shall be given prompt notice of any change, lapse or cancellation of the Company's directors and officers' liability insurance.

Liability Insurance. To the extent the Company maintains an insurance policy or policies providing directors' Directors’ and officers' Officers’ liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director Director, Officer or officerIndemnitee. If Indemnitee incurs any Expenses in tendering the defense of the Action to the insurance company providing the Directors and Officers insurance, such Expenses shall be considered indemnifiable Expenses.

Liability Insurance. To the extent the Company maintains or has maintained an insurance policy or policies providing general and/or directors' and officers' liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer.

To the extent the Company maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, Indemnitee shall be covered by such policy or policies, policies in accordance with its or their terms, terms and to the maximum extent of the insurance coverage available for any Company director or officerand/or officer of the Company.

To the extent the Company maintains an insurance policy or policies providing directors' and officers' liability insurance, Indemnitee shall be covered by such policy or policies, in accordance 5 with its or their terms, to the maximum extent of the coverage available provided under such policy or policies in effect for any other Company director or officer.

To the extent the Company currently or in the future maintains an insurance policy or policies providing directors' and officers' liability insurance, Indemnitee shall be and continue to be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officerof the Company.

To the extent the Company maintains an insurance policy or policies providing directors' and officers' liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available thereunder for any Company director or officer; provided that, for any person that is no longer serving as director or officer of the Company or of any other enterprise at the Company’s request, such coverage shall only be provided to the extent that it is generally available to the Company in the insurance marketplace.

To the extent the Company company maintains an insurance policy or policies providing directors' and officers' liability insurance, Indemnitee shall will be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer.
