Common use of Liability Insurance Clause in Contracts

Liability Insurance. To the extent the Company maintains an insurance policy or policies providing directors' and officers' liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer.

To the extent the Company maintains an liability insurance policy applicable to directors, officers, employees, agents, or policies providing directors' and officers' liability insurancefiduciaries, Indemnitee shall be covered by such policy or policies, policies in accordance with its or their terms, such a manner as to provide Indemnitee the maximum extent of the coverage available for any director, officer, employee, agent, or fiduciary under such policies. Notwithstanding the foregoing, the Company director shall have no obligation to obtain or officermaintain such insurance.

To the extent the Company maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officerofficer and to the fullest extent permitted by Swiss law.

To the extent the Company maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, Indemnitee shall be covered by such policy or policies, policies in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officerdirector.

(a) To the extent the Company maintains at any time an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any other Company director or officerofficer under such insurance policy. The purchase and maintenance of such insurance shall not in any way limit or affect the rights and obligations of the parties hereto, and the execution and delivery of this Agreement shall not in any way be construed to limit or affect the rights and obligations of the Company and/or of the other parties under any such insurance policy.

To Except as otherwise agreed to by the Company in a written agreement with Indemnitee or for the benefit of Indemnitee, to the extent the Company maintains an insurance policy or policies providing directors' and officers' liability insurance, Indemnitee shall be covered by such that policy or those policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer.

Liability Insurance. To the extent the Company maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, Indemnitee shall will be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any director of the Company. The Company director will not be required to create a trust fund, grant a security interest, obtain a letter of credit, or officeruse other means to ensure the payment of such amounts as may be necessary to satisfy its obligations to indemnify and advance expenses pursuant to this Agreement.

(a) To the extent the Company maintains at any time an insurance policy or policies providing directors' and officers' liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any other Company director or officerofficer under such insurance policy. The purchase and maintenance of such insurance shall not in any way limit or affect the rights and obligations of the parties hereto, and the execution and delivery of this Agreement shall not in any way be construed to limit or affect the rights and obligations of the Company and/or of the other parties under any such insurance policy.

To the extent the Company maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available thereunder for any Company director or officer; provided that, for any person that is no longer serving as director or officer of the Company or of any other enterprise at the Company’s request, such coverage shall only be provided to the extent that it is generally available to the Company in the insurance marketplace.

To the extent the Company maintains an insurance policy or policies providing directors' and officers' liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or and/or officer.

To the extent the Company Corporation maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company Corporation director or officer.

Liability Insurance. To to the extent the Company maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, Indemnitee Indemnitee, if an officer or director of the Company, shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officerofficer of the Company.

Liability Insurance. To the extent the Company maintains an insurance policy or policies providing directors' and or officers' liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available provided under such policy or policies in effect for any Company director other Director or officerOfficer of the Company, as the case may be.

Liability Insurance. To the extent the Company maintains an insurance policy or policies providing directors' and officers' liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officerof the Company.

Liability Insurance. (a) To the extent the Company maintains an insurance policy or policies providing directors' and liability insurance for any of its directors or officers' liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officerofficer during the Indemnitee’s tenure as a director or officer and, following a termination of Indemnitee’s service in connection with a Change in Control, for a period of six (6) years thereafter.

Liability Insurance. To the extent the Company ------------------- maintains an insurance policy or policies providing directors' and officers' liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer.

Liability Insurance. To the extent the Company maintains an insurance policy or policies providing directors' directors and officers' officers liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer.

Liability Insurance. To the extent the Company maintains an insurance policy or policies providing directors' and officers' liability insurance, Indemnitee shall will be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer.

Liability Insurance. To the extent the Company maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available provided thereunder for any Company director director, executive officer or officer. The availability of such insurance coverage, however, shall not exclude indemnification hereunder.

Liability Insurance. To the extent the Company maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance and fiduciary liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer.

Liability Insurance. To the extent the Company maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officerthe Company’s directors and officers.

Liability Insurance. To the extent the Company maintains an insurance policy or policies providing directors' and officers' liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officerdirector.

Liability Insurance. To the extent the Company maintains an insurance policy or policies providing general and/or directors' ’ and officers' ’ liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer, subject to applicable stock exchange or SEC regulations.

Liability Insurance. To the extent the Company Corporation maintains an insurance policy or policies providing directors' ’ and officers' ’ liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director officer, employee, agent or officerfiduciary of the Corporation.

Liability Insurance. To the extent the Company maintains an insurance policy or policies providing directors' and officers' liability insuranceinsurance and Indemnitee is an officer or director of the Company or a subsidiary of the Company, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer.

Liability Insurance. To the extent the Company maintains an insurance policy or policies providing directors' and officers' liability insurance, Indemnitee Indemnitee, if at any time an officer or director of the Company, shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officerofficer of the Company.

Liability Insurance. (a) To the extent the Company maintains an insurance policy or policies providing directors' and liability insurance for any of its directors or officers' liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officerofficer during the Indemnitee’s tenure as a director or officer and for a period of six (6) years thereafter.

Liability Insurance. To the extent the Company maintains an insurance policy or policies providing directors' and ’ or officers' ’ liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officer. The Company shall thereafter take all necessary or desirable action to cause such insurers to pay, on behalf of the Indemnitee, all amounts payable as a result of such proceeding in accordance with the terms of such policies.

Liability Insurance. To the extent the Company maintains an insurance policy or policies providing directors' and officers' liability insurance, the Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director or officerof the Company.

Liability Insurance. To the extent the Company maintains an insurance policy or policies providing directors' and officers' liability insurance, the Company shall cause Indemnitee shall to be covered by such policy or policies, to the extent permitted by law and the applicable insurance provider, in accordance with its or their terms, to the maximum extent of the coverage available for any Company director director, special committee member, officer, employee or officeragent.

Liability Insurance. To the extent the Company company maintains an insurance policy or policies providing directors' director’ and officers' ’ liability insurance, Indemnitee shall be covered by such policy or policies, in accordance with its or their terms, to the maximum extent of the coverage available Coverage provided for any Company director or officerofficer of the Company.
