Lessee Representative Sample Clauses

Lessee Representative. (a) Each Lessee hereby irrevocably appoints and constitutes SLV-III LLC (“Lessee Representative”) as its agent and attorney-in-fact to (i) provide all notices and instructions to be given by the Lessees or any thereof under this Agreement and the other Transaction Documents (and any notice or instruction provided by Lessee Representative shall be deemed to be given by the applicable Lessee and shall bind such Lessee), (ii) receive notices and instructions to be given to the Lessees or any thereof under this Agreement and the other Transaction Documents (and any notice or instruction provided to the Lessee Representative shall be deemed to have been given to the applicable Lessee), (iii) make payments required to be paid by the Lessees or any thereof under this Agreement and the other Transaction Documents (and any payment made by Lessee Representative shall be deemed to be paid by the applicable Lessee), (iv) receive payments and disbursements to be made to the Lessees or any thereof under this Agreement and the other Transaction Documents (and any payment made to Lessee Representative shall be deemed to be paid to the applicable Lessee), (v) grant any security interest required to be granted by any Lessee under the Transaction Documents, including any security interest in the Servicer Collection Accounts, and execute and deliver any deposit account control agreement with respect to any such security interest granted by a Lessee in the Servicer Collection Accounts or other deposit accounts in the name of any Lessee, (vi) take any such action on behalf of the Lessees as the Lessee Representative deems appropriate to effectuate the sale and leaseback arrangements contemplated under the Transaction Documents and to exercise such other powers as are reasonably incidental thereto to carry out the purposes of this Agreement and the other Transaction Documents (and any action by Lessee Representative shall be deemed to be made by the applicable Lessee and shall bind such Lessee) and (vii) execute and deliver any amendments, consents, waivers or other instruments related to this Agreement and the other Transaction Documents on behalf of the other Lessees (and any such amendment, consent, waiver or other instrument shall be binding upon and enforceable against each other Lessee to the same extent as if made directly by such Lessee). Lessee Representative. If Lessee is not a single individual, Lessee shall designate one (1) person over the age of twenty-one (21) years, to be Lessee’s Representative with the full power and authority to bind Lessee and to exercise the duties and obligations of Lessee as set forth in this Agreement. Notice by WBD to Lessee’s Representative shall be deemed notice to Lessee.

Lessee Representative. Each of the Facility Lessees hereby appoints Holy Family Lessee as their duly authorized agent and representative (the “Lessee Representative”) to take all actions and enforce all rights of Lessee under this Lease, including, without limitation, (a) giving and receiving any notice or instruction permitted or required under this Lease; (b) interpreting all of the terms and provisions of this Lease; (c) authorizing payments or obtaining reimbursement as may be provided for herein; (d) consenting to, compromising or settling all disputes with Lessor under this Lease; (e) conducting negotiations and dealing with Lessor under this Lessor; and (f) taking any other actions on behalf of Lessee relating to Lessees’ rights, claims, duties and obligations under this Lease. In the performance of Lessor’s duties and obligations hereunder, Lessor shall be authorized and permitted to correspond and transact with the Lessee Representative on behalf of all the Facility Lessees and shall be entitled to rely upon any document or instrument executed and delivered by the Lessee Representative. (iii) Article XL is amended to add the following provision as new Section 40.30 thereof:

Lessee Representative. From time to time, Lessee may designate by written notice to Manager, a representative or representatives, which initially shall be an Ashford executive, to act as a liaison between Lessee and Manager. Manager may rely on any written direction or approval given to it by such representative as being the direction or approval of Lessee. Manager shall cooperate with such representative and meet with such representative upon request.

Lessee Representative. Lessor acknowledges that Lessee is represented by the Equis Corporation located at ▇▇▇▇ ▇. ▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇, ▇▇▇▇▇ ▇▇▇, ▇▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇, ▇▇ ▇▇▇▇▇, for the purpose of the negotiation of this Lease. Lessor agrees to compensate the Lessee Representative with a commission of 3% on the total Rent to be paid for the initial Term of the Lease by the Lessee pursuant to Paragraph number (4) hereof. The commission will be paid one-half within thirty (30) days of Lease signing with the balance due within sixty (60) days of Lease signing.

Lessee Representative. Lessee will designate a representative with decision making authority to attend the Tenant Improvement Construction Meetings that shall occur on a weekly basis or as needed in order to ensure that the construction process progresses smoothly and on schedule.

Lessee Representative. Lessor acknowledges that Lessee is represented by the Equis Corporation located at ▇▇▇▇ ▇. ▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇, ▇▇▇▇▇ ▇▇▇, ▇▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇, ▇▇. ▇▇▇▇▇ for the purpose of the negotiation of this Lease. Lessor agrees to compensate the Lessee Representative with a commission of 6 % on the total gross rent to be paid for the entire term of the lease by the Lessee. The total rent is for the rent portion only and does not include reimbursements for real estate taxes, insurance, utilities or any other expenses paid by Lessee. The commission will be paid one – half at Lease signing with the balance at Lease Commencement.
