Leases and Personal Property. Except for any provisions contained in the documents creating, evidencing or securing the Existing Loan for Parkway Centre II:
Leases and Personal Property. (1) Huntcliff Seller agrees to sell Huntcliff Summit and the Leases (as hereinafter defined and herein so called) and the Personal Property (as hereinafter defined and herein so called) appurtenant thereto. In addition, Lainx Xxxd, Inc. agrees to sell Huntcliff Land. In the event that Huntcliff Seller desires to acquire any of the Third-Party Huntcliff Units prior to Closing other than substantially in accordance with the terms of the Guaranteed Buy Back Agreements (the " Guaranteed Buy Back Agreement"), which are listed on Exhibit F attached hereto, such acquisition shall require the prior written consent of Purchaser, which shall not be unreasonably withheld or delayed. An acquisition by Huntcliff Seller of any Third-Party Huntcliff Unit substantially in accordance with the Guaranteed Buy Back Agreements shall not require the consent of Purchaser. Any Third-Party Huntcliff Units purchased by Huntcliff Seller prior to Closing substantially in accordance with the Guaranteed Buy Back Agreements or with the prior consent of Purchaser shall become a part of Huntcliff Summit for purposes of this Agreement.
Leases and Personal Property. All leases of the Property, if any, including all amendments, guaranties and subleases (collectively, the “Leases”), are in full force and effect, and there are no defaults under any of the Leases, provided that the only Lease as of the date hereof is that certain Single-Tenant Triple Net Lease between Borrower and its affiliate, Petco Animal Supplies Stores, Inc.. Borrower holds title to all personal property and fixtures necessary for the operation and management of the Property for the uses presently being conducted thereon.
