KNOWLEDGE WITHOUT INQUIRY. Except as provided for in Section 11.2.1 where an individual has made due inquiry thereof, an individual shall be deemed to have "knowledge" of a particular fact or other matter if such individual is actually aware of such fact or other matter or if a prudent individual could be expected to be aware thereof after making inquiry of the officers of Seller. Seller shall be deemed to have "knowledge" of a particular fact or other matter if any officer of Seller who is involved in the management of Seller is actually aware of such fact or matter or would have knowledge of such fact or other matter after making inquiry of the officers of Seller.
