Full Knowledge. By their signatures, the parties acknowledge that they have carefully read and fully understand the terms and conditions of this Agreement, that each party has had the benefit of counsel, or has been advised to obtain counsel, and that each party has freely agreed to be bound by the terms and conditions of this Agreement.
Full Knowledge. Guarantor acknowledges, represents, and warrants that Guarantor has had a full and adequate opportunity to review the Transaction Documents, the transaction contemplated by the Transaction Documents, and all underlying facts relating to such transaction. Guarantor represents and warrants that Guarantor fully understands: (a) the remedies Buyer may pursue against Seller and/or Guarantor in the event of a default under the Transaction Documents, (b) the value (if any) and character of any Security, and (c) Seller’s financial condition and ability to perform under the Transaction Documents. Guarantor agrees to keep itself fully informed regarding all aspects of the foregoing and the performance of Seller’s obligations to Buyer. Buyer has no duty, whether now or in the future, to disclose to Guarantor any information pertaining to Seller, the Transactions or any Security. At any time provided for in the Transaction Documents, Guarantor agrees and acknowledges that an Insolvency Proceeding affecting Guarantor, or other actions or events relating to Guarantor (including Guarantor’s death, disability, or change in financial position), as set forth in the Transaction Documents, may be event(s) of default under the Transaction Documents.
Full Knowledge. The Rights Holder acknowledges and agrees that he is fully aware of all of the terms and conditions of the Proposed Transactions, and that he has had an opportunity to discuss such terms and conditions with COMPANY representatives, and to ask any questions he has deemed necessary.
Full Knowledge. Executive warrants, represents and agrees that in executing this Agreement, he does so with full knowledge of any and all rights which he may have with respect to the Released Parties.
Full Knowledge. Each Borrower acknowledges, represents and warrants that such Borrower has had a full and adequate opportunity to review the Loan Documents. Each Borrower represents and warrants that such Borrower fully understands the remedies the Administrative Agent (on behalf of the Lenders) may pursue against such Borrower and each other Borrower in the event of a default under the Loan Documents and such Borrower’s and each other Borrower’s financial condition and ability to perform under the Loan Documents. Each Borrower agrees to keep itself fully informed regarding all aspects of such Borrower’s and each other Borrower’s financial condition and the performance of such Borrower’s and each other Borrower’s obligations under this Agreement and the other Loan Documents. Each Borrower agrees that neither the Administrative Agent nor any Lender has any duty, whether now or in the future, to disclose to any Borrower any information pertaining to such Borrower, any other Borrower, any Guarantor or other guarantor or any collateral security or guaranty.
Full Knowledge. By their signatures, the parties acknowledge that they have carefully read and fully understand the terms and conditions of this Agreement, that each party has had the benefit of counsel, or has been advised to obtain counsel, and that each party has freely agreed to be bound by the terms and conditions of this Agreement. If Creditor has refused the benefit of counsel, it understands and acknowledges that neither it nor any officer, director, or affiliate has not been represented in this transaction, directly or indirectly, by counsel for PayStar or U.S. Cash.
Full Knowledge. As a sophisticated and accredited investor and a former executive officer and director and a substantial shareholder of the Corporation, Seller has had access to and been given an opportunity to ask such questions of the Corporation and its management concerning the Corporation’s business, operations, financial condition, assets, liabilities and other relevant matters as Seller has deemed necessary or desirable, and has received and reviewed all information requested, in order to evaluate the merits and risk relevant to Seller’s decision regarding the transaction contemplated by this Agreement.
Full Knowledge. I represent that I have carefully read, understand, and voluntarily sign this agreement and acknowledge that it is binding on me, Participant, and other family members or guardians of Participant, as well as my and Participant’s heirs, assigns, trustees, receivers, administrators, executors, representatives, agents, and estate, and that it may be pled as a bar and defense to any action or other proceeding that I or Participant may assert arising out of or related to Camp or the Activities.
Full Knowledge. Both parties have read the foregoing Agreement in its entirety and voluntarily agree to each of its terms with full knowledge thereof.
Full Knowledge. Guarantors agree to keep themselves fully informed regarding all aspects of Borrower's financial condition and the performance of Borrower's obligations to Lender. Guarantors agree that Lender has no duty, whether now or in the future, to disclose to any of Guarantors any information pertaining to Borrower.
