Indemnification of Brokerage. Each of the parties hereto agrees to indemnify and hold harmless each other party from and against any claim or demand for a commission or other compensation by any financial advisor, broker, agent, finder, or similar intermediary claiming to have been employed by or on behalf of such indemnifying party and to bear the cost of legal fees and expenses incurred in defending against any such claim or demand.

Indemnification of Brokerage. Each of the Sellers represents and warrants to the Buyer that no broker, finder, agent or similar intermediary (a "Broker") has acted on behalf of the Company or the Sellers in connection with this Agreement or the Contemplated Transactions, and that there are no brokerage commissions, finder's fees or similar fees or commissions payable in connection therewith based on any agreement, arrangement or understanding with the Company or the Sellers, or any action taken by the Company or the Sellers. Each of the Sellers agrees to indemnify and hold harmless the Buyer from any Claim or demand for commission or other compensation by any Broker claiming to have been employed by or on behalf of the Company or a Seller, and to bear the cost of legal expenses incurred in defending against any such claim. The Buyer represents and warrants to the Sellers that no Broker has acted on behalf of the Buyer in connection with this Agreement or the Contemplated Transactions, and that there are no brokerage commissions, finders' fees or similar fees or commissions payable in connection therewith based on any agreement, arrangement or understanding with the Buyer, or any action taken by the Buyer. The Buyer agrees to indemnify and hold harmless the Sellers from any Claim or demand for commission or other compensation by any Broker claiming to have been employed by or on behalf of the Buyer, and to bear the cost of legal expenses incurred in defending against any such claim.
Indemnification of Brokerage. The Seller agrees to pay the Seller's Fee and to indemnify and hold harmless the Purchaser from any claim or demand for commission or other compensation by any Investment Broker claiming to have been employed by or on behalf of the Company, any of its Subsidiaries or the Seller in connection with the transactions contemplated hereby, and to bear the cost of legal expenses incurred in defending against any such claim. The Purchaser agrees to pay the Purchaser's Fee and to indemnify and hold harmless the Seller from any claim or demand for commission or other compensation by any Investment Broker claiming to have been employed by or on behalf of the Purchaser in connection with the transactions contemplated hereby, and to bear the cost of legal expenses incurred in defending against any such claim.
Indemnification of Brokerage. Each of the Triton Entities agrees ---------------------------- to indemnify and save Purchaser harmless from any claim or demand for commissions or other compensation by any broker, finder, agent or similar intermediary claiming to have been employed by or on behalf of the Triton Entities or any of their Affiliates, and to bear the cost of reasonable legal fees and expenses incurred in defending against any such claim. Purchaser agrees to indemnify and save the Triton Entities harmless from any claim or demand for commissions or other compensation by any broker, finder, agent or similar intermediary claiming to have been employed by or on behalf of Purchaser or any of its Affiliates and to bear the cost of reasonable legal fees and expenses incurred in defending against such claim.
Indemnification of Brokerage. The Sellers jointly and severally represent and warrant to the Buyers that no broker, finder, agent or similar intermediary has acted on behalf of the Company or any Seller in connection with this Agreement or the transactions provided for herein, and that there are no brokerage commissions, finder's fees or similar fees or commissions payable with respect to this Agreement or such transactions based on any agreement, arrangement or understanding with the Company or any Seller, or any action taken by the Company or any Seller, other than fees payable to Xxxx Xxxxxxxxx Xxxxxxxx & Co., whose fees will be the sole responsibility of the Sellers. The Sellers jointly and severally agree to indemnify and save the Buyer harmless from any claim or demand for commission or other compensation by any broker, finder, agent or similar intermediary claiming to have been employed by or on behalf of the Company or any of the Sellers, and to bear any and all costs, including, without limitation, any legal fees and expenses incurred in defending against any such claim.
Indemnification of Brokerage. The Stockholders, jointly and severally, represent and warrant to Metromedia that there are no brokerage commissions, finder's fees or similar fees or commissions payable to any Person (a "Broker") in connection with this Agreement or based on any agreement, arrangement or understanding with the Company, any of the Subsidiaries or any of the Stockholders, or any action taken by the Company, any of the Subsidiaries or any of the Stockholders relating thereto. The Stockholders agree, jointly and severally, to indemnify and save Metromedia harmless from any claim or demand for commission or other compensation by any Broker claiming to have been employed by or on behalf of the Company, any of the Subsidiaries or any of the Stockholders, and to bear the cost of legal expenses incurred in defending against any such claim. Metromedia represents and warrants to the Stockholders that no Broker has acted on behalf of Metromedia in connection with this Agreement or the Contemplated Transactions, and that there are no brokerage commissions, finders' fees or similar fees or commissions payable in connection therewith based on any agreement, arrangement or understanding with Metromedia, or any action taken by Metromedia. Metromedia agrees to indemnify and save the Stockholders harmless from any claim or demand for commission or other compensation by any Broker claiming to have been employed by or on behalf of Metromedia, and to bear the cost of legal expenses incurred in defending against any such claim.
Indemnification of Brokerage. Each party hereto agrees to indemnify and save the other harmless from any claim or demand for commission or other compensation by any broker, finder, agent or similar intermediary claiming to have been employed by or on behalf of such first party or any of its affiliates, and to bear the cost of legal expenses incurred in defending any such claim or demand. Claims for indemnification under this Section 6.4 will be made in accordance with the provisions set forth in Section 10.2 but will not be subject to any of the limitations set forth in Section 10.3.

The Seller and the Guarantors, jointly and severally, agree to indemnify and hold harmless the Buyer from any Claim or demand for commission or other compensation by any Broker claiming to have been employed by or on behalf of the Company, the Seller or the Guarantors, and to bear the cost of legal expenses incurred in defending against any such claim. The Buyer represents and warrants to the Seller and the Guarantors that no Broker has acted on behalf of the Buyer in connection with this Agreement or the Contemplated Transactions, and that there are no brokerage commissions, finders' fees or similar fees or commissions payable in connection therewith based on any agreement, arrangement or understanding with the Buyer, or any action taken by the Buyer. The Buyer agrees to indemnify and hold harmless the Seller and the Guarantors from any Claim or demand for commission or other compensation by any Broker claiming to have been employed by or on behalf of the Buyer, and to bear the cost of legal expenses incurred in defending against any such claim.

The Seller represents and warrants to the Buyer that except as set forth on Schedule 6.4 no Broker has acted on behalf of the Seller in connection with this Agreement or the Contemplated Transactions, and that there are no brokerage commissions, finder's fees or similar fees or commissions payable in connection therewith based on any agreement, arrangement or understanding with the Seller, or any action taken by the Seller. The Seller agrees to indemnify and hold harmless the Buyer from any claim or demand for commission or other compensation by any Broker claiming to have been employed by or on behalf of the Seller, and to bear the cost of legal expenses incurred in defending against any such claim. The Buyer represents and warrants to the Seller that no Broker has acted on behalf of the Buyer in connection with this Agreement or the Contemplated Transactions, and that there are no brokerage commissions, finders' fees or similar fees or commissions payable in connection therewith based on any agreement, arrangement or understanding with the Buyer, or any action taken by the Buyer. The Buyer agrees to indemnify and hold harmless the Seller from any claim or demand for commission or other compensation by any Broker claiming to have been employed by or on behalf of the Buyer, and to bear the cost of legal expenses incurred in defending against any such claim.
