Common use of Incumbency and Signatures Clause in Contracts

Incumbency and Signatures. A certificate of the Secretary or an Assistant Secretary of the Designated Subsidiary certifying the name and signature of the officer or officers of the Designated Subsidiary who have signed or will sign the letter referenced in Section 10.2.2, together with a sample of the true signature of each such officer, and a certificate of authorization setting forth each Person who is authorized to effect Loans and other transactions hereunder, together with a sample of the true signature of each such Authorized Person. Each Bank may conclusively rely on such certificates until it shall have received notice to the contrary.

Each Bank may conclusively rely on such certificates until it shall have received notice to the contrary.
