Common use of Implied Covenants Clause in Contracts

Implied Covenants. There are no implied covenants contained in this Agreement other than those of good faith and honest dealing. In deliberating matters before the Board, each Director will act in good faith and in the best interests of the Company provided that he or she may also consider the interests of the Shareholder that nominated such Director.
