Relationship of the Participants. The Participants are independent contracting entities. Nothing in this Agreement shall be construed to create a partnership, agency relationship, or joint venture among the Parties. Neither the Coordinating Committee nor any Participant shall have any authority to bind or make commitments on behalf of another Participant for any purpose, nor shall any such Party hold itself out as having such authority. No Participant shall be held liable for the acts or omissions of another Participant.
Relationship of the Participants. CRISP, Participant and other Participants are independent contracting entities. Nothing in the Agreement shall be construed to create a partnership, agency relationship, or joint venture among or between CRISP, Participant and any or all other Participants. For purposes of HIPAA, CRISP and the Participants are independent contractors and not agents, of each other. Neither party shall have any authority to bind or make commitments on behalf of the other party for any purpose and shall not hold itself out as having such authority. Participant shall not have any authority to bind or make commitments on behalf of another Participant for any purpose and shall not hold itself out as having such authority. No Participant shall be held liable for the acts or omissions of another Participant.
Relationship of the Participants. (a) Except as expressly provided in this clause, this Agreement is not intended to create and should not be construed as creating, any partnership, joint venture or fiduciary relationship between any one or more of us or confer a right in favour of any of us to enter into any commitment on behalf of each other or otherwise to act as its agent.

Nothing contained in this Agreement is intended or is to be construed to constitute Elan and Endorex as partners, or Elan as an employee of Endorex, or Endorex as an employee of Elan. No Party hereto shall have any express or implied right or authority to assume or create any obligations on behalf of or in the name of another Party or to bind another Party to any contract, agreement or undertaking with any third party.
Relationship of the Participants. Nothing contained in this Agreement is intended or is to be construed to constitute Elan and DOV as partners, or Elan as an employee or agent of DOV, or DOV as an employee or agent of Elan. No Party hereto shall have any express or implied right or authority to assume or create any obligations on behalf of or in the name of another Party or to bind another Party to any contract, agreement or undertaking with any third party.
Relationship of the Participants. (a) Nothing in this Agreement gives a Participant authority to bind any other Participant in any way.

Nothing contained in this Memorandum or the Joint Venture Agreement shall be deemed to constitute either Participant the partner of the other, or, except as otherwise expressly provided, to constitute either Participant the agent or legal representative of the other, or to create any fiduciary relationship between them. The Participants do not intend to create, and the Joint Venture Agreement shall not be construed to create, any mining, commercial or other partnership. Neither Participant shall have any authority to act for or assume any obligation or responsibility on behalf of the other Participant, except as otherwise expressly provided in the Joint Venture Agreement The rights, duties, obligations and liabilities of the Participants shall be several and not joint or collective. Each Participant shall be responsible only for its obligations as set out in the Joint Venture Agreement, and shall be liable only for its share of the costs and expenses as provided in the Joint Venture Agreement, and it is the express intention of the Participants that their ownership of Assets and the rights acquired thereunder shall be as tenants in common.
