Immunity of Directors, Officers and Employees of Town and the Local Government Commission. No recourse shall be had for the enforcement of any obligation, promise or agreement of the Town contained in the Contract or this Lease Agreement for any claim based thereon or otherwise in respect thereof, against any commissioner, officer, employee or agent, as such, in his individual capacity, past, present or future, of the Town or the LGC, either directly or through the Town or the LGC, whether by virtue of any constitutional provision, statute or rule of law, or by the enforcement of any assignment or penalty or otherwise; it being expressly agreed and understood that the payment of Installment Payments, the Contract and this Lease Agreement are solely corporate obligations, and that no personal liability whatsoever shall attach to, or be incurred by, any commissioner, officer, employee or agent, as such, past, present or future, of the Town or the LGC, either directly or through the Town or the LGC, under or by reason of any of the obligations, promises or agreements entered into between the Town and the YMCA whether contained in this Lease Agreement or to be implied therefrom as being supplemental hereto or thereto, and that all personal liability of that character against every such commissioner, officer, employee or agent is, by the execution of this Lease Agreement and the Contract, and as a condition of, and as part of the consideration for, the execution of this Lease Agreement and the Contract, expressly waived and released.

The Commissioner and the Authorized User reserve the right to conduct a security background check or otherwise approve any employee, Subcontractor, or agent furnished by Contractor and to refuse access to or require replacement of any personnel for cause based on professional, technical or training qualifications, quality of work or change in security status or non-compliance with Authorized User’s security or other requirements. Such approval shall not relieve the Contractor of the obligation to perform all work in compliance with the Contract or the Purchase Order. The Commissioner and the Authorized User reserve the right to reject and/or bar from any facility for cause any employee, Subcontractor, or agent of the Contractor.

  • ASSOCIATION AND EMPLOYEE RIGHTS A. The exclusive Representative ("Association") shall have the right to represent its members in employment relations with the District.
