All use, disclosure or appropriation by Globe-1 or, to Globe-1's ----------- knowledge, by another party pursuant to rights granted to it by Globe-1, of Confidential Information owned by Globe-1 to a third party has been pursuant to the terms of a written agreement between Globe-1 and such third party. All use, disclosure or appropriation by Globe-1 of Confidential Information not owned by Globe-1 has been pursuant to the terms of a written agreement between Globe-1 and the owner of such Confidential Information, or is otherwise lawful.

Portion of the loss left to be paid by the Insured provided for in the policy in the event of indemnity following a loss.
