Formation and Responsibilities of Joint Policy Board. (a) PHC-SUB and the Practices shall establish a Joint Policy Board consisting of three (3) members. PHC-SUB shall designate, in its sole discretion, two (2) members to the Joint Policy Board and the Practices shall select one (1) member. The initial members of the Joint Policy Board are set forth in Schedule 5.20 hereto. During the first two (2) years of this ------------- Agreement, the Joint Policy Board shall only consider, review, determine and approve, by unanimous vote only, the following matters as they relate to the operation of the Practices:

In the event that Xxxx Xxxxx, M.D. is unable or unwilling to serve as PHC-SUB's designee on the Joint Policy Board, PHC-SUB will designate Xxxxxxx Xxxxx, M.D. to serve as a member of the Joint Policy Board. In the event that both Xxxx Xxxxx, M.D. and Xxxxxxx Xxxxx, M.D. are unable or unwilling to serve as PHC- SUB's designee on the Joint Policy Board, PHC-SUB may designate (with the Practice's prior consent, which may be granted or withheld in its sole discretion) any individual to the Joint Policy Board. In the event that the Practice withholds its consent to PHC's first two such designees, the Practice shall be obligated to propose three designees from which PHC-SUB (in its sole discretion) shall select one to serve on the Joint Policy Board.
