Failure to Perform Duties. If Executive (A) willfully fails to comply with a reasonable direction of the CEO, or such other person as Executive is assigned to report to pursuant to this Agreement or (B) neglects to perform the material duties of his or her employment under this Agreement in a professional and businesslike manner, other than due to his or her becoming Disabled (as defined below), which failure to comply or perform continues for a period of fifteen (15) days after receipt by Executive of written notice thereof;
