Common use of Failure to Perform Duties Clause in Contracts

Failure to Perform Duties. If Executive neglects to perform the material duties of his employment under this Agreement in a professional and businesslike manner, other than due to his physical or mental infirmity, after having received thirty (30) days written notice specifying such failure to perform and a reasonable opportunity to perform.

If Executive neglects Executive’s continued failure or refusal to attempt in good faith to perform the material his job duties of his employment under this Agreement in a professional and businesslike manner, or to follow the reasonable directions of the Board (other than due to his by reason of physical or mental infirmityillness, injury, or condition) after having received thirty (30) days written days’ notice specifying such from the Board of his failure to perform do so and a reasonable an opportunity to performcure.
