Common use of Expenses Related to this Agreement Clause in Contracts

Expenses Related to this Agreement. Notwithstanding any other provision in this Agreement to the contrary, the Company shall indemnify the Indemnitee against all expenses incurred by the Indemnitee in connection with any hearing or proceeding under this Section 8 involving the Indemnitee and against all expenses incurred by the Indemnitee in connection with any other proceeding between the Company and the Indemnitee involving the interpretation or enforcement of the rights of the Indemnitee under this Agreement unless a court of competent jurisdiction finds that each of the claims and/or defenses of the Indemnitee in any such proceeding was frivolous or made in bad faith.

Expenses Related to this Agreement. Notwithstanding any other provision in this Agreement to the contrary, the Company shall indemnify the Indemnitee against all expenses incurred by the Indemnitee in connection with any hearing or proceeding under this Section 8 9 involving the Indemnitee and against all expenses incurred by the Indemnitee in connection with any other proceeding between the Company and the Indemnitee involving the interpretation or enforcement of the rights of the Indemnitee under this Agreement unless a court of competent jurisdiction finds that each of the claims and/or defenses of the Indemnitee in any such proceeding was frivolous or made in bad faith.

Notwithstanding any other provision in this Agreement to the contrary, the Company shall indemnify the Indemnitee against all expenses reasonable Expenses incurred by the Indemnitee in connection with any hearing or proceeding Proceeding under this Section 8 involving the Indemnitee and against all expenses reasonable Expenses incurred by the Indemnitee in connection with any other proceeding Proceeding between the Company and the Indemnitee involving the interpretation or enforcement of the rights of the Indemnitee under this Agreement unless a court of competent jurisdiction finds that each of the claims and/or defenses of the Indemnitee in any such proceeding Proceeding was frivolous or made in bad faith.

Notwithstanding any other provision in this Agreement to the contrary, the Company shall indemnify the Indemnitee Indemnitees against all expenses Expenses incurred by the Indemnitee Indemnitees in connection with any hearing or proceeding Proceeding under this Section 8 4 involving the Indemnitee Indemnitees and against all expenses Expenses incurred by the Indemnitee Indemnitees in connection with any other proceeding Proceeding between the Company and the Indemnitee Indemnitees involving the interpretation or enforcement (subject to Section 10) of the rights of the Indemnitee Indemnitees under this Agreement unless a court of competent jurisdiction finds that each of the claims and/or defenses of the Indemnitee Indemnitees in any such proceeding Proceeding was frivolous or made in bad faith.
