Exercise and Conditions. In exchange for the PDP Contribution, Sierra will be entitled to receive newly issued Shares of the Company. Sierra’s ability to exercise the PDP Contribution will be subject to: (A) Sierra Group holding at least the Minimum Participation immediately prior to the consummation of the PDP Contribution; and (B) Sierra waiving in writing the right to exercise the put option under the Put Option Agreement, provided that such waiver shall be conditioned to the consummation of the PDP Contribution. For the avoidance of doubt, Sierra’s waiver of the put option under the Put Option Agreement will be subject to and conditioned upon the irrevocable consummation of the PDP Contribution, in which the PDP Contribution must occur, otherwise Sierra will be able again to exercise the put option under the Put Option Agreement.
