Environmental Investigation; Right to Terminate Agreement. A. IBG and its consultants, agents and representatives, at the sole cost and expense of IBG, shall have the right to the same extent that IBI has the right, but not the obligation or responsibility, to inspect any Property, including conducting asbestos surveys and sampling, environmental assessments and investigation, and other environmental surveys and analyses including soil and ground sampling (“Environmental Inspections”). IBG shall notify IBI in writing before any Environmental Inspection, and IBI may place reasonable restrictions on the time of such Environmental Inspection. If, as a result of any such Environmental Inspection, further investigation (“Secondary Investigation”) including, test borings, soil, water and other sampling is deemed desirable by IBG, IBG shall (i) notify IBI in writing of any Property for which it intends to conduct such a Secondary Investigation and the reasons for the Secondary Investigation, and (ii) at the sole cost and expense of IBG, commence the Secondary Investigation. IBG shall give reasonable written notice to IBI of the Secondary Investigation, and IBI may place reasonable time and place restrictions on the Secondary Investigation.

SBB shall notify Pacific prior to any physical inspections of the Pacific Property, and Pacific may place reasonable restrictions on the time of such inspections. If, as a result of any such Environmental Inspection, further investigation ("secondary investigation") including, without limitation, test borings, soil, water and other sampling is deemed desirable by SBB, SBB shall (i) notify Pacific of any Pacific Property for which it intends to conduct such a secondary investigation and the reasons for such secondary investigation, and (ii) commence such secondary investigation, on or prior to the date which is sixty (60) calendar days from the date of this Agreement. SBB shall give reasonable notice to Pacific of such secondary investigations, and Pacific may place reasonable time and place restrictions on such secondary investigations.

EQBK will give reasonable notice to KBC of such Secondary Investigations, and KBC may place reasonable time and place restrictions on such Secondary Investigations.
Environmental Investigation; Right to Terminate Agreement. (a) Compass and its consultants, agents and representatives, shall have the right at Compass' sole cost and expense to the same extent that the Bank has such right, but not the obligation or responsibility, to inspect any Property acquired, leased, foreclosed, managed or controlled by the Bank after the date hereof and any Property in which the Bank acquires a security interest after the date hereof, including, without limitation, for the purpose of conducting asbestos surveys and sampling, and other environmental assessments and investigations ("Environmental Inspections"). Compass' right to conduct Environmental Inspections shall include the right to sample and analyze air, sediment, soil and groundwater of any Property to the same extent that the Bank has such right. Compass may conduct such Environmental Inspections at any time subject to Section 6.9(d) below.

Environmental Investigation; Right to Terminate Agreement. (a) The Company and its designated consultants, agents and representatives shall have the right to the same extent that FBHC has such right, but not the obligation or responsibility, at the Company's expense, to inspect any FBHC Real Property or Real Estate Owned, including, without limitation, conducting asbestos surveys and sampling, environmental assessments and investigation, and other environmental surveys and analyses including soil and ground sampling ("Environmental Inspections") at any time on or prior to [30 days after execution of Agreement], 1998. The Company shall notify FBHC prior to any physical inspections of any such properties, and FBHC may place reasonable restrictions on the time of such inspections. (If, as a result of any such Environmental Inspection, further investigation ("secondary investigation") including, without limitation, test borings, soil, water and other sampling is deemed desirable by the Company, the Company shall (i) notify FBHC of any property for which it intends to conduct such a secondary investigation and the reasons for such secondary investigation, and (ii) commence such secondary investigation, on or prior to [60 days after execution of Agreement], 1998. All secondary investigations must be approved in advance by FBHC. The Company shall give reasonable notice to FBHC of such secondary investigations, and FBHC may place reasonable time and place restrictions on such secondary investigations.

FVNB's right to conduct Environmental Inspections shall include the right to sample and analyze air, sediment, soil and groundwater of any Property to the same extent that CBOT or any of its subsidiaries has such right. FVNB may conduct such Environmental Inspections at any time subject to Section 6.9(d) below.

The Company shall notify Citizens prior to any physical inspections of any such properties, and Citizens may place reasonable restrictions on the time of such inspections. (If, as a result of any such Environmental Inspection, further investigation ("secondary investigation") including, without limitation, test borings, soil, water and other sampling is deemed desirable by the Company, the Company shall (i) notify Citizens of any property for which it intends to conduct such a secondary investigation and the reasons for such secondary investigation, and (ii) commence such secondary investigation, on or prior to December 15, 2000. All secondary investigations must be approved in advance by Citizens. The Company shall give reasonable notice to Citizens of such secondary investigations, and Citizens may place reasonable time and place restrictions on such secondary investigations.
