Election of Other Officers. The Board of Directors at its first meeting held after each Annual Meeting of Stockholders shall elect the officers of the Corporation (other than the Co-Chief Executive Officers whose elections shall be as provided in Section 2 of this Article IV), who shall hold their offices for such terms and shall exercise such powers and perform such duties as shall be determined from time to time by the Board of Directors; and all such officers of the Corporation shall hold office until their successors are chosen and qualified, or until their earlier resignation or removal. Any officer subject to this section may be removed at any time by the affirmative vote of a majority of the Board of Directors. Any vacancy occurring in any office of the Corporation subject to this section shall be filled by the Board or Directors. The salaries of all officers of the Corporation subject to this section shall be fixed by the Board of Directors or by the Compensation Committee.

Election of Other Officers. Subject to the authorization and approval of the Executive Committee pursuant to Article FIFTH of the Certificate of Incorporation, as applicable, the Board of Directors may appoint such other officers and agents as it shall deem appropriate who shall hold their offices for such terms and shall exercise such powers and perform such duties as shall be determined from time to time by the Board.

  • Certificate of Officers Parent and Acquisition Corp. shall have delivered to the Company a certificate dated the Closing Date, executed on their behalf by their respective Presidents, certifying the satisfaction of the conditions specified in paragraphs (a), (b), and (c) of this Section 8.2.

Any resignation shall take effect at the date of the receipt of that notice or at any later time specified in that notice. Unless otherwise specified in the notice of resignation, the acceptance of the resignation shall not be necessary to make it effective. Any resignation is without prejudice to the rights, if any, of the Corporation under any contract to which the officer is a party.
