Duly Authorized Representatives. Duly authorized representatives of the XXXX and its respective affiliates shall be permitted to transact official business on school property at all reasonable times and after checking in with the principal and stating the reason for the visit, provided that such activity does not disrupt normal school operations. Teachers shall not be disturbed while they are conducting a class.
Duly Authorized Representatives. To the extent that authorization of Client is required by, or is appropriate under, this Agreement, such authorization may be given by Xxxxxxxxx Xxxxxx, Chief Operating Officer, or by such other person as Xx. Xxxxxx may designate in writing, and any such authorization will be binding upon Client.
Duly Authorized Representatives. 16 Duly authorized representatives of the Association shall be permitted at all 17 reasonable times to enter the facilities operated by the Hospital for purposes 18 of transacting Association business and observing conditions under which 19 nurses are employed; provided, however, that the Association's 20 representative shall, upon arrival at the Hospital, notify the Administrator or 21 designee of the intent to transact Association business, and that visitations 22 other than on the day shift shall be after notification in advance to the 23 Administrator or designee during normal office hours. Transaction of any 24 business shall be conducted in an appropriate location subject to general 25 Hospital and clinic rules applicable to nonemployees and shall not interfere 26 with the work of the employees. 27
Duly Authorized Representatives. 14.1 Each representative who signs below guarantees that he/she is duly empowered personally or by his/her respectively named company to enter into and be bound by the commitments and obligations contained herein either as an individual, corporate body or on behalf of a corporate body. THUS DONE AND SIGNED BY THE PARTIES AS REFLECTED BELOW. EACH CHOOSES THE DESIGNATED ADDRESS AS THE ADDRESS OF DOMICILE FOR THE PURPOSES OF THIS AGREEMENT.
Duly Authorized Representatives. Each Party, unless expressly provided for otherwise herein, shall appoint, as soon as reasonably practicable after the date of this Agreement, a Representative or Representatives (each such Representative, a “Duly Authorized Representative”), who shall be responsible for coordinating and managing the Work, Services and Deliverables provided and received hereunder and shall, unless expressly provided for otherwise herein, have authority to act on the applicable Party’s behalf with respect to matters relating to this Agreement, including the execution of SOWs and Change Orders (unless and until a replacement Duly Authorized Representative is designated by the applicable Party by written notice to the other Party). Each Party shall notify the other Party, in writing, as soon as practicable after the appointment of such Duly Authorized Representative, but no more than 10 Business Days after such appointment.
