Distributions Payable in Shares. In the event that the Board of Directors of the Company shall declare a distribution payable in Shares, the Company shall deliver or cause to be delivered to the Transfer Agent written notice of such declaration signed on behalf of the Company by an officer thereof, upon which the Transfer Agent shall be entitled to rely for all purposes, certifying (i) the identity of the Shares involved, (ii) the number of Shares involved, and (iii) that all appropriate action has been taken.
