Disclaimer of Agency, Partnership, and Joint Venture. Nothing in this Agreement shall constitute or be deemed to constitute a partnership or joint venture between the parties hereto or authorize the employees of one party to act as an agent of the other party for any purpose whatsoever, and neither party shall have authority or power to bind the other party or to contract in the name of, or create a liability against, the other party in any way or for any purpose.
Disclaimer of Agency, Partnership, and Joint Venture. In the performance of this agreement, the parties and their respective employees and agents will at all times act as independent contractors as to one another, and shall not be considered employees or agents of the other party. Nothing herein shall be construed to grant either party the right to exercise control or direction over the method by which the other party provides goods or services. Further, nothing in this agreement shall be construed to create any legal relationship between Organic and Licensee except as expressly set forth herein.
