DIP Financing Motion. By the DIP Financing Motion, the Debtor 8 seeks an order from the Bankruptcy Court (i) authorizing the Debtor to obtain post- 9 petition loans, credit, and other financial accommodations (the “DIP Loan”) from 10 Ja-Ru, Inc., a Florida corporation (“Ja-Ru” or “Lender”) substantially in accordance 11 with the terms of the Secured Note Purchase Agreement (“DIP Loan Agreement”) 12 attached to the DIP Financing Motion; (ii) authorizing the Debtor to xxxxx Xxxxxx 13 superpriority administrative claim status pursuant to Bankruptcy Code section 14 364(c)(1) in respect of all DIP Obligations (as defined in the DIP Financing 15 Motion); (iii) authoring the Debtor to use the collateral, including cash collateral, 16 that secures the Debtor’s obligations to its Pre-Petition Secured Creditors, and 17 granting adequate protection as set forth in the DIP Financing Motion, including 18 replacement liens to the Pre-Petition Secured Creditors; and (iv) modifying the 19 automatic stay to to permit the Debtor to: (1) grant the liens described above with 20 respect to Ja-Ru and the Pre-Petition Secured Creditors and to perform such acts as 21 may be requested to assure such priority status and afford Ja-Ru rights upon the 22 termination of the DIP Loan Agreement; (2) execute such other documents as may 23 be required to effectuate the financing and (3) implement the terms of the proposed

  • Priority Lien Status The County’s right to receive FILOT payments hereunder shall have a first priority lien status pursuant to Sections 12-44-90(E) and (F) of the FILOT Act and Chapters 4, 49, 51, 53, and 54 of Title 12 of the Code.

  • Credit Union Lien and Security Interest To the extent you owe the Credit Union money as a borrower, guarantor, indorser or otherwise, the Credit Union has a lien on any or all of the funds in any account in which you have an ownership interest at the Credit Union, regardless of the source of the funds. The Credit Union may apply these funds in any order to pay off your indebtedness without further notice to you. If the Credit Union chooses not to enforce its lien, the Credit Union does not waive its right to enforce the lien at a later time. When an enforcement notice is to be served by the Official Agency the content of the notice shall be agreed with the Authority as a matter of urgency, prior to it being served.   • PRIORITY OF USE Any schedule or milestone in this Agreement is estimated based upon the Parties' current understanding of the projected availability of NASA goods, services, facilities, or equipment. In the event that NASA's projected availability changes, Partner shall be given reasonable notice of that change, so that the schedule and milestones may be adjusted accordingly. The Parties agree that NASA's use of the goods, services, facilities, or equipment shall have priority over the use planned in this Agreement. Should a conflict arise, NASA in its sole discretion shall determine whether to exercise that priority. Likewise, should a conflict arise as between two or more non-NASA Partners, NASA, in its sole discretion, shall determine the priority as between those Partners. This Agreement does not obligate NASA to seek alternative government property or services under the jurisdiction of NASA at other locations.
