Development Meetings. ZaZa and Quantum shall meet, at least once per calendar quarter, to discuss the latest developments and future plans relating to the Subject Assets and the EOG AMI, including detailed technical results and analysis, development plans and authorities for expenditure and any other matter reasonably pertinent to the Subject Assets and the EOG AMI.
Development Meetings. Seller conducts a weekly meeting on Tuesdays at 9:00 a.m. Pacific time at the Property (each, a “Weekly Meeting”) to review the status of the Development and any applicable changes to the Development Plans. Purchaser, Purchaser’s or its Affiliatesemployees, and Purchaser’s representative from Pond, Xxxxxxxx & Associates LP (or any replacement of Pond, Xxxxxxxx & Associates LP designated by Purchaser upon written notice to Seller during the term of this Agreement, “Purchaser Architect”) may attend such Weekly Meetings (either in person or telephonically). Purchaser shall use commercially reasonable efforts to cause its Purchaser Architect to attend at least one Weekly Meeting per month (whether in person or telephonically). If any changes to the Development Plans or Development Contracts are proposed at a regular Weekly Meeting, then so long as the RFI, submittal or change order with respect to such changes is provided as described in Section 4.9(b) above, Purchaser shall have forty-eight (48) hours (not including Saturdays, Sundays or legal holidays) after receipt of the RFI, submittal or change order to approve or disapprove such change in writing pursuant to Section 4.9(b) above.
Development Meetings. (a) Until the last of the Notices of Acceptance for the Properties is given by CEO (Housing) in accordance with clause 8.2(a)(i), the Proponent must, and must ensure that the Proponent’s employees and any subcontractors, if requested by CEO (Housing):
Development Meetings. Representatives of the Parties will meet at least quarterly to discuss potential improvements and modifications to Products, and reduction of overall cost. The Parties shall agree in writing on: implementation of modifications and improvements; the Party to be responsible for the development work; and the Parties' respective ownership of IPR in such modifications and improvements. Development Meetings. The Working Group Chair will schedule development Meetings and provide adequate written Notice (at least ten (10) business days, or in the case of face-to-face meetings, thirty (30) calendar days) of all development Meetings to each of the Working Group Members. No Working Group member will be intentionally excluded from Meetings or denied the opportunity to participate in the process of developing Draft Specifications; however, although the Working Group Chair will attempt in good faith to schedule Meetings when all of the Working Group members can participate, development Meetings need not be delayed or rescheduled if one or more of the Working Group members cannot attend or participate. If a Draft Specification will be voted on as a “Final Draft” (as defined in Section 6.4(a)), such Notice will so state and identify the then current version of the subject Draft Specification.
Development Meetings. Cielo and 1888 shall meet regularly with respect to the Development of the Licensed Assets as and when mutually agreed and at any time upon reasonable notice requested by Cielo or 1888 and in no event less frequently than once per quarter Until the 1st commercial plant is operating, verbal communication will suffice.

  • Management meetings The conditions of contract (e.g. Clause 16.2) and other sections of the Service Information (e.g. safety risk management) may require that a meeting shall be held. However the intention of all NEC contracts is that the Parties and their agents use the techniques of partnering to manage the contract by holding meetings designed to pro actively and jointly manage the administration of the contract with the objective of minimising the adverse effects of risks and surprises for both Parties. Depending on the size and complexity of the service, it is probably beneficial for the Service Manager to hold a weekly risk register meeting (Clause 16.2). This could be used to discuss safety, compensation events, subcontracting, overall co-ordination and other matters of a general nature. Separate meetings for specialist activities such as planning and activities of a technical nature may also be warranted. Describe here the general meetings and their purpose. Provide particulars of approximate times, days, location, and attendance requirements, stipulating that attendees shall have the necessary delegated authority to make decisions in respect of matters discussed at such meetings. The following text could be used as a model for this section: Regular meetings of a general nature may be convened and chaired by the Supply Manager as follows: Title and purpose Approximate time & interval Location Attendance by: Risk register and compensation events Weekly on at Overall contract progress and feedback Monthly on at Employer, Contractor and Meetings of a specialist nature may be convened as specified elsewhere in this Service Information or if not so specified by persons and at times and locations to suit the Parties, the nature and the progress of the service. Records of these meetings shall be submitted to the Service Manager by the person convening the meeting within five days of the meeting. All meetings shall be recorded using minutes or a register prepared and circulated by the person who convened the meeting. Such minutes or register shall not be used for the purpose of confirming actions or instructions under the contract as these shall be done separately by the person identified in the conditions of contract to carry out such actions or instructions.

  • Labour Management Meetings 38.01 The parties agree to two (2) Labour/Management meetings annually at six (6) month intervals. Each party will submit an agenda, no later than 3 working days prior to the meeting, listing items to be discussed. The meetings will provide a forum for ongoing communication and the joint consideration of various concerns, which arise. The persons attending such meetings shall suffer no loss of regular pay.

  • Faculty Meetings Principals shall have the authority to schedule necessary faculty meetings; however, such meetings shall be as brief and well planned as possible. Such meetings shall be used for purposes that cannot be accomplished effectively through other means. Faculty meetings shall be scheduled in a manner that impacts teacher planning time to the least degree possible. If more than one faculty meeting is held in a month, the purpose of the meeting shall be announced to the faculty in advance.

  • Safety Meetings At a minimum, Contractor shall conduct daily “tail gate” safety meetings with each work crew to review workplace safety and proper work practices.

  • Meetings Meetings of the Trustees shall be held from time to time upon the call of the Chairman, if any, or the President or any two Trustees. Regular meetings of the Trustees may be held without call or notice at a time and place fixed by the By-Laws or by resolution of the Trustees. Notice of any other meeting shall be given by the Secretary and shall be delivered to the Trustees orally not less than 24 hours, or in writing not less than 72 hours, before the meeting, but may be waived in writing by any Trustee either before or after such meeting. The attendance of a Trustee at a meeting shall constitute a waiver of notice of such meeting except where a Trustee attends a meeting for the express purpose of objecting to the transaction of any business on the ground that the meeting has not been properly called or convened. Any time there is more than one Trustee, a quorum for all meetings of the Trustees shall be one-third, but not less than two, of the Trustees. Unless provided otherwise in this Declaration and except as required under the 1940 Act, any action of the Trustees may be taken at a meeting by vote of a majority of the Trustees present (a quorum being present) or without a meeting by written consent of a majority of the Trustees. Any committee of the Trustees, including an executive committee, if any, may act with or without a meeting. A quorum for all meetings of any such committee shall be one-third, but not less than two, of the members thereof. Unless provided otherwise in this Declaration, any action of any such committee may be taken at a meeting by vote of a majority of the members present (a quorum being present) or without a meeting by written consent of all of the members. With respect to actions of the Trustees and any committee of the Trustees, Trustees who are Interested Persons in any action to be taken may be counted for quorum purposes under this Section and shall be entitled to vote to the extent not prohibited by the 1940 Act. All or any one or more Trustees may participate in a meeting of the Trustees or any committee thereof by means of a conference telephone or similar communications equipment by means of which all persons participating in the meeting can hear each other; participation in a meeting pursuant to any such communications system shall constitute presence in person at such meeting.

  • Labor Management Meetings Section 1. To promote communication and problem resolution between the City and the membership of the union, the Human Resources Director, and other representatives determined appropriate by the City may meet quarterly with the Executive Officers of the Union and other representatives that would be useful to discuss or resolve current issues.

  • Project Meetings 32.1 Prior to the commencement of Work, Construction Contractor shall attend a preconstruction conference with Owner and Design Professional and others as appropriate to discuss the Master Project Schedule, procedures for handling shop drawings and other submittals, and for processing Applications for Payment, and to establish a working understanding among the parties as to the Work. During the prosecution of the Work, Construction Contractor shall attend any and all meetings convened by Owner or Design Professional with respect to the Project, when directed to do so by Owner or Design Professional. Construction Contractor shall have its subcontractors and suppliers attend all such meetings (including the preconstruction conference) as may be directed by Owner or Design Professional.

  • TAC Meetings The goal of this subtask is for the TAC to provide strategic guidance for the project by participating in regular meetings, which may be held via teleconference. The Recipient shall: • Discuss the TAC meeting schedule with the CAM at the Kick-off meeting. Determine the number and location of meetings (in-person and via teleconference) in consultation with the CAM. • Prepare a TAC Meeting Schedule that will be presented to the TAC members during recruiting. Revise the schedule after the first TAC meeting to incorporate meeting comments. • Prepare a TAC Meeting Agenda and TAC Meeting Back-up Materials for each TAC meeting. • Organize and lead TAC meetings in accordance with the TAC Meeting Schedule. Changes to the schedule must be pre-approved in writing by the CAM. • Prepare TAC Meeting Summaries that include any recommended resolutions of major TAC issues. The TAC shall: • Help set the project team's goals and contribute to the development and evaluation of its statement of proposed objectives as the project evolves. • Provide a credible and objective sounding board on the wide range of technical and financial barriers and opportunities. • Help identify key areas where the project has a competitive advantage, value proposition, or strength upon which to build. • Advocate on behalf of the project in its effort to build partnerships, governmental support and relationships with a national spectrum of influential leaders. • Ask probing questions that insure a long-term perspective on decision-making and progress toward the project’s strategic goals. • Review and provide comments to proposed project performance metrics. • Review and provide comments to proposed project Draft Technology Transfer Plan.
