Common use of Description of Improvements Clause in Contracts

Description of Improvements. (a) The Premises to be provided by Sublessor, at no cost or expense to Sublessee expense (and exclusive of Sublessee Improvements), shall consist of a concrete floor, exterior Building walls, off-Premises service points from which electrical and telephone service to the Premises can be made, off-Premises service points from which plumbing connections for the supply of water to the Premises may be made and any "Tenant Improvements" required to be constructed by the Landlord pursuant to the Lease. (b) The additional improvements described on that certain two-page (2-page) cost breakdown prepared by Burger Construction and Property Services, a copy of which is attached to this Sublease Work Letter Agreement as ATTACHMENT "1", which include, but are not limited to, ceilings, interior partitions, insulation, drywall (including taping and sanding), painting, window coverings, wood and plastic casework, carpet, lighting fixtures, electrical systems, plumbing connections and fixtures for the supply of water to the Premises and the equipment and distribution system for heating, ventilation and air-conditioning ("HVAC") for the Premises, including, but not limited to, all ducts, baffles and thermostats to serve the Premises, shall constitute the "SUBLESSEE IMPROVEMENTS". The Sublessee Improvements all shall be made by Sublessor pursuant to plans and specifications to be approved in writing by Sublessor and Sublessee. The work to be done and the responsibility for preparation of plans and specifications for the Sublessee Improvements is described in this Sublease Work Letter Agreement.

Description of Improvements. (a) The Premises to be provided by Sublessor, at no cost or expense to Sublessee expense (and exclusive of Sublessee Improvements), Landlord shall consist of all improvements currently existing in the Premises which shall include, but not be limited to, a concrete floor, exterior Building building walls, off-Premises and service points from which electrical and telephone service to the Premises can be made. In addition, off-Premises service points from which plumbing connections Landlord shall complete the items as set forth in Section 3.3 of the Lease. The foregoing shall be deemed Landlord's Work for the supply all purposes of water this Lease. Tenant acknowledges that except for Landlord's Delivery Work and except to the extent expressly set forth in this Lease (including without limitation Sections 4.2 [Delivery of the Premises], 7.4 [ADA] and 8.4 [Landlord's Obligations]) Tenant's taking possession of the Premises may shall be made deemed acceptance of the Premises by Tenant, and any shall be deemed conclusively to establish that the Premises are in good and satisfactory condition as of the date Tenant takes possession. Tenant accepts possession of the Premises in their current, "Tenant Improvements" required to be constructed by as is", condition, and acknowledges that it has inspected the Landlord pursuant to Premises and is fully aware of the Leasecondition of the Premises. (b) The After the Effective Date, Tenant intends to make certain additional improvements described on that certain two-page (2-page"Tenant Improvements") cost breakdown prepared by Burger Construction and Property Services, a copy of which is attached to this Sublease Work Letter Agreement as ATTACHMENT "1", which includethe Premises including, but are not limited to, ceilings, interior partitions, insulation, drywall (including taping potential demising of the Premises for subleasing pursuant to the provisions of Section 15 of the Lease, and sanding), paintinginstallation of mezzanine office area [of which Landlord may require removal at the end of the Term or any Extension Term] as described in Section 1.1 of the Lease) HVAC units & HVAC distribution and controls and other mechanical and plumbing systems within the Premises, window coverings, wood and plastic casework, carpet, lighting fixtures, electrical systems, plumbing connections and fixtures for the supply of water exhaust systems, fire detection systems, alterations made to the Premises and fire sprinkler system to accommodate the equipment and distribution system for heating, ventilation and air-conditioning ("HVAC") for layout of the Premises, including, but not limited toand air conditioning units, all ducts, baffles and thermostats to serve the Premises, shall constitute the "SUBLESSEE IMPROVEMENTS". The Sublessee Improvements all shall be made by Sublessor pursuant to plans and specifications to be approved in writing by Sublessor Landlord and SublesseeTenant.
