Degree of Skill. In the exercise of the rights and duties prescribed or conferred by the terms of this Indenture, the Warrant Agent shall act honestly and in good faith and shall exercise that degree of care, diligence and skill that a reasonably prudent warrant agent would exercise in comparable circumstances. No provision of this Indenture shall be construed to relieve the Warrant Agent from liability for its own gross negligence, wilful misconduct, bad faith or fraud.

No provision of this Indenture shall be construed to relieve the Warrant Agent from liability for its own grossly negligent action, its own grossly negligent failure to act or its own wilful misconduct or bad faith. The Warrant Agent shall not be liable for any error in judgement or for any act done or step taken or omitted by it in good faith or for any mistake, in fact or in law, or for anything which it may do or refrain from doing in connection herewith except arising out of its own gross negligence, bad faith, wilful misconduct or fraud under this Indenture..

The details of the operating standards and procedures to be followed by SCM in the performance of the services described above shall be determined from time to time by agreement between SCM and the Corporation.
