Common use of Date and Place of Closing Clause in Contracts

Date and Place of Closing. The consummation of the transactions contemplated herein (the “Closing”) shall take place at the offices of Xxxxxx Xxxxxxx Xxxxxxxx & Xxxxxx, P.C., 00000 Xx Xxxxxx Xxxx, Xxx Xxxxx, XX 00000, upon the satisfaction or waiver of all conditions to closing set forth in Sections 4 and 5 hereof (the “Closing Conditions”) but, subject to Section 1.6, no later than the Offering Termination Date. The date on which the Closing occurs is herein sometimes referred to as the “Closing Date.”
