CWPC. In the event that CWPC sells, transfers or otherwise disposes of any of its assets other than in the ordinary course of business, cause CWPC, directly or indirectly, to distribute the net cash proceeds thereof, to the extent such distribution would be permitted by applicable law, rule or regulation.
