Covenants of the Company Parties. (a) Ordinary Conduct of Business. Except as otherwise expressly permitted by this Agreement, the Company and the Company Bank will, and each will cause their subsidiaries to, from the date of this Agreement to the Closing, conduct its business in the ordinary course in substantially the same manner as presently conducted and make reasonable commercial efforts consistent with past practices to preserve its relationships with other Persons. Additionally, except as otherwise contemplated by this Agreement or as set forth on SECTION 7.1(A) of the Company's Disclosure Schedule, neither the Company nor the Company Bank will, nor will either permit any of their other subsidiaries to, do any of the following without the prior written consent of the Buyer:
